Overview

The legal-prerequisite filings that let a company sell new shares: shelf registrations, equity lines (SPA), primary offerings, and share-resale registrations. Tracks effective status, expiration, amount raised so far, and remaining capacity. Includes ATM-program details where applicable.

When to use

  • Anticipating dilution before it happens — an effective shelf is a loaded gun.
  • Checking how much ATM capacity remains on an active program.
  • Flagging issuers approaching baby-shelf limits.

Key parameters

  • type — registration type: SHELF, SPA (equity line), OFFERING, or SHARE RESALE.
  • is_atm=true — only ATM programs.
  • effective_status=true — only currently-effective registrations.
  • over_baby_shelf=true — issuers exceeding the $75M baby-shelf threshold (or false for those constrained by it).
  • Range filters across calculated_raisable_amount, amount_sold_to_date, total_raised, offering_amount.

Response highlights

  • effective_status, effective_date, expiration_date.
  • offering_amount, total_raised, amount_sold_12_mos, baby_shelf_raisable_amount, over_baby_shelf.
  • is_atm, bank, amount_remaining_atm, 60_day_high.
  • document_url, askedgar_url.
