Overview

AskEdgar's proprietary scoring of how likely a company is to issue dilutive shares — through ATMs, follow-on offerings, warrant exercises, or convertible conversions. Combines balance-sheet cash runway, registration capacity, historical offering frequency, and Nasdaq-compliance status into a single overall risk grade.

When to use

  • Risk-screening small-caps before taking a long position.
  • Sorting a watchlist by overall offering risk.
  • Pairing with Dilution Data for full context.

Key parameters

  • At least one filter is required: ticker, regsho, any rating filter (offering_ability, dilution, offering_frequency, cash_need, nasdaq_compliance, overall_offering_risk), or a numeric range filter (min_cash_burn, max_cash_burn, min_cash_remaining_months, max_cash_remaining_months).
  • Rating filters accept High, Medium, Low.

Response highlights

  • overall_offering_risk — the headline grade.
  • Each rating field comes with a paired *_desc human-readable explanation.
  • estimated_cash, cash_burn, cash_remaining_months, total_debt_final — the raw financials behind the grade.
  • regsho — boolean; true means the ticker is on the Reg SHO threshold list (chronic failed-to-deliver).

Notes

  • Coverage: audited only for companies under $1B market cap. Larger companies return null for affected fields.
